Terms of Service

These terms describe how working with KULAK works: what you get, how billing runs, who owns what, and how either of us can end it. They are written to be read, not skimmed.
The agreement
By subscribing to a KULAK plan or engaging us for a fixed-price project, you agree to these terms. If a signed proposal or statement of work says something different, the signed document wins for that engagement.
What we provide
KULAK provides brand, website, product, and marketing design. Work is delivered either as a Design Subscription or as a fixed-price Design Project. A project may cover a brand identity, a website, product design, or a mix of these, with the scope, fee, timeline, and revision rounds agreed in writing before kickoff. Additional subscription capacity can be arranged under a separate agreed scope and price.
How the subscription works
You are paired with a dedicated design manager. You may add as many requests to your queue as you like and reorder them at any time. We work through the queue one active request at a time, unless additional capacity has been agreed. You receive an update on the active request every 48 hours, often sooner. Larger projects are broken into phases, with an update on the active phase on the same 48 hour basis.
The subscription includes as many revision rounds as you need within an active request. We hold a thirty-minute planning call with you each week; everything else runs asynchronously. Revision rounds on a Design Project are set in its agreed scope, usually three for a brand identity or a landing page.
Billing and term
Subscriptions are billed monthly in advance by card, with the first payment taken at the start of the engagement. The standard subscription has no minimum term. You may cancel at any time, effective at the end of your current billing month. No refunds are issued for partial months. Design Projects are invoiced 50% on kickoff and 50% on completion.
An optional discounted three-month commitment is billed monthly and renews in three-month blocks unless you give notice at least fourteen days before the current term ends. Cancellation takes effect at the end of that term.
Clients who start a three-month subscription within thirty days of completing a Design Project pay the committed-term rate shown on the pricing page for those three billing months, then the standard monthly rate unless the term is renewed.
A subscription is not paused automatically. If you need a break, for business travel or a planned gap in work, a pause may be arranged with KULAK in writing before the billing period it affects, on terms agreed at the time.
Your responsibilities
Turnaround depends on timely feedback. We ask for a response to each deliverable within two business days; requests waiting longer than that pause until we hear from you. You are responsible for the accuracy of the content you provide and for holding the rights to any assets, photography, fonts, or third-party material you ask us to use.
Ownership and intellectual property
Once paid for, final deliverables are yours. You own the copyright in the brand, website, product, and marketing work we create for you, and you may use it however you like. We keep ownership of our working files, tools, and any preliminary concepts you did not select.
Third-party assets such as licensed fonts, stock imagery, and plugins are licensed to you directly by their owners under their own terms; we will tell you what is required. Unless you ask us in writing not to, we may show completed work in our portfolio and case studies.
Confidentiality
We treat your unreleased products, roadmap, metrics, and business information as confidential and do not share them with anyone outside the team working on your account. If you need a separate non-disclosure agreement, we are glad to sign one.
What we do not take on
We are selective because the model only works when we go deep. We decline projects that need a cheap pair of hands rather than a design partner, and we will not produce work that is deceptive, infringes someone else's rights, or that we believe would harm you or your customers.
Warranties and liability
We promise to deliver work with professional skill and care. Beyond that, the services are provided as is, and we do not guarantee any particular business outcome such as conversion rates or revenue. To the fullest extent the law allows, our total liability under these terms is limited to the fees you paid us in the three months before the claim arose, and neither of us is liable to the other for indirect or consequential loss.
Termination
Either of us may end a month-to-month subscription by written notice, effective at the end of the current billing month. For a three-month commitment, notice must be given at least fourteen days before the term ends and cancellation takes effect at the end of that term. We may end it sooner if an invoice remains unpaid for more than fourteen days or if you breach these terms and do not fix it within seven days of notice. On termination, we deliver all completed and paid-for work.
Governing law
These terms are governed by the laws of the State of Florida, and any dispute will be resolved in its courts. We will always try to resolve disagreements by conversation first.
Changes to these terms
We may update these terms from time to time. Changes apply to new subscriptions immediately and to existing subscriptions at their next renewal. We will email current clients about anything material.
